NOTICE TO SHAREHOLDER WHO HAS NOT ACCEPTED A TAKE-OVER OFFER
(Subsection 223(2) of the Capital Markets and Services Act 2007)

In this notice –
Huat Lai Resources Berhad is referred to as “the Offeree”, and Esprit Unity Sdn Bhd, Lim Yeow
Her, Lim Yeow Kian and Datuk Lim Yeow Siong are collectively referred to as “the Joint Offerors”.
A take-over offer was extended by the Joint Offerors to acquire all the remaining ordinary shares of
RM1.00 each in the Offeree (excluding treasury shares) not held by Joint Offerors (“Offer Shares”) on
24 October 2016.
In pursuance of that take-over offer, the Joint Offerors have, by virtue of the acceptances of the takeover offer, acquired 15,959,400 Offer Shares up to 5.00 p.m. (Malaysian time) on 23 November 2016
to which the take-over offer relates.
The Joint Offerors hereby give you notice, in pursuance of the provisions of subsection 223(1) of the
Capital Markets and Services Act 2007, that those shares together with such other shares in the Offeree
company as were held by the Joint Offerors, or by a nominee for, or a related corporation of the Joint
Offerors at the period mentioned in subsection 223(1) of the Capital Markets and Services Act 2007
comprise or include nine-tenths in nominal value of the ordinary shares of RM1.00 each in the Offeree.
In pursuance of those provisions you may, by 22 March 2017, which shall not be less than 3 months
from the close of the offer, give notice that you require the Joint Offerors to acquire your holding of the
ordinary shares of RM1.00 each in the Offeree company, and if you give that notice the Joint Offerors
will be entitled and bound to acquire those shares on the terms of the take-over offer or such other
terms as may be agreed or as the High Court, on application made to it by you or by the Joint Offerors,
thinks fit to order.
