CONTEXT
Management of the legal risks associated with commercial regulatory law and contracting involving Anglo
American in South Africa and in proximate countries.
PURPOSE
Supporting Anglo American’s businesses in SA by managing the legal risks in relation to general commercial
law. Advising on the management of legal risks involved in implementing the Group’s business plans.
TYPICAL TASKS
 Provide advice and opinions on legal issues and risks and refer complex or urgent matters for external
advice where appropriate.
 Assess legal risks associated with contractual arrangements and, occasionally, contentious disputes.
 Advise clients as to risks, strategy and potential costs as well as alternatives for cost effective achievement
of commercial objectives.
 Appoint external legal service providers (including external law firms, counsel and/or legal process
outsourcing firms) where required to support any contracting or commercial regulatory outcome in a cost
effective and efficient manner.
 Manage contracting processes for value in accordance with Group Legal SA playbooks and a Legal Project
Management approach.
 When required to do so, manage litigation, arbitration, mediation, administrative processes or labour law
disputes for value in accordance with Group Legal SA playbooks and the Legal Project Management
approach. Regularly review playbooks and, where necessary, develop new playbooks and augment existing
playbooks.
 Report to your line manager and client on a regular and consistent basis in relation to progress, costs and
issues arising and obtain approval for material decisions in all matters in which you are the lead lawyer.
Update the Group Legal SA reports comprehensively and accurately as-and-when material developments
occur or monthly (in accordance with the Group Legal SA monthly reporting cycle), whichever is the more
frequent. Where required, participate in briefings of General Counsel, BU CFOs and other stakeholders.
 Manage legal costs in accordance with internal budgets, implement the Group Legal Preferred External Law
Firm Agreement.

 External legal service providers, such as lawyers and personnel at external law firms and legal process
outsourcing firms, including those representing counter parties.
 Legal personnel and other relevant office bearers of regulators including statutory authorities, commissions
and panels.
 Legal personnel and officers of relevant industry bodies as well as other non-Anglo American businesses
with which Group Legal has dealings, including as counter parties.
CAPABILITY REQUIRED TO DO THE ROLE
Knowledge of:Knowledge

Technical Skills
At least two of the following areas of law in depth:
o laws of contract;
o treasury and finance law;
o commercial regulatory law (including securities regulation);
o international sanctions law;
o construction law; and/or
o domestic and international anti-corruption law;
 Any of the following would be an advantage:
o mining related permitting law including mining law, environmental law or
mine health and safety law;
o employment law
o the law of delict;
o administrative law; and/or
o court rules, procedural law and the law of evidence
 The structure, workings and operations of the Anglo American Group in South
Africa will be an advantage.
Ability to:
Social Process Skills
Understand and have experience in managing merger, acquisition and disposal
contracts and complex sales/marketing and procurement agreements.
 Perform analysis in relation to legal process and the ability to understand legal
processes as a series of replicable tasks.
 Perform analysis in relation to assessing legal risk and a demonstrable ability to
develop strategies for dealing with commercial contracting and regulatory
matters, and to think critically and analytically in relation to legal problems.

Draft and present reports on legal matters to all levels of the business, including
to senior management executives in the business.
Manage external legal service providers, including a demonstrable ability to
have difficult conversations with these providers (i.e. to address sub-standard
performance or problematic invoicing practices).
Demonstrate well-developed communication skills and be able to confidently
engage with lawyers and clients of all levels of seniority and in a variety of
media and formats.
LLB or equivalent.
Proven post qualification (university degree) experience.

Attorney or advocate (or equivalent professional), in all instances previously a
member of a law society or of the Bar in good standing.
Excellent written and spoken English.
Driver’s licence.
Microsoft Office proficiency (Word a minimum requirement).
Ability to research law (online and in a library).
Proof of professional registration and qualifications.
Owing to the particular ethical considerations relating to legal service provision,
the Head of Legal SA may from time to time require lawyers to furnish the
department with a credit report, data relating to business ownership, interests
and directorships and/or a police clearance certificate.
