PERTH ENERGY STANDARD FORM ELECTRICITY CONTRACT
Information about these terms and conditions, the Code of Conduct, Laws and regulations
TheStateGovernmentregulatesthecontractualarrangementsbetweenelectricitysuppliersandcustomers.These
termsandconditions,alongwiththeCustomerSchedule,setoutmutualobligationsforthesupplyofelectricity
fromUstoYou.TheyformthebasisofalegallybindingContractforthissupply.
Thesetermsandconditionsapplytothesupplyofelectricitytocustomersconsuminglessthan160MWhof
electricityperyear.BysigningtheCustomerSchedulethatformsthefrontpagetothisContract,Youagreetothese
termsandconditions.
TheCodeofConductfortheSupplyofElectricitytoSmallUseCustomers(the"Code")regulatestheconductof
electricityretailers,meteringagentsanddistributors.TheCodeprotectstheinterestsofconsumersandcovers
mostaspectsinvolvedinthesupplyofelectricity.
AnumberofLawsandregulations,bothCommonwealthandState,governtheactivitiesinvolvedinthesupplyof
electricity.ThetwomostdirectlyapplicabletothesetermsandconditionsaretheElectricityIndustryAct2004
(WA)andtheElectricityIndustry(CustomerContracts)Regulations2005(WA).
What we mean
WeandUsmeansPerthEnergyPtyLtd(ABN39087386445)andOurhasacorrespondingmeaning.Youmeans
theperson/stakingasupplyofelectricityfromUsatthepremisesandYourhasacorrespondingmeaning.
1.
SupplyofElectricity
WeagreetosellelectricitytoYouatYourPremisesandYouagreetopurchaseelectricityfromUsonthe
termsandconditionsassetoutinthisContract.ThequantityofelectricitysuppliedbyUstoYouwillbe
theamountmeasuredbythemeteratYourPremises.Wewillalsoprovideanaccountmanagement
serviceinaccordancewiththeCodeandwithOurCustomerServiceCharter.
2.
CommencementandTerm
2.1
ThisContractcommences,subjecttoanycoolingoffperiodapplicabletothisContract,onthedatethat
YoucommencetotakesupplyofelectricityatthePremisesfromUs(otherthanbyfraudulentorillegal
means)(CommencementDate):

(a)havingenteredintoasupplyandsaleContractwithUs;or
(b)withouthavingenteredintoasupplyandsalecontractwithUs;or
(c)havingcancelledasupplyandsaleContractwithUswithinthecooling-offperiodrelatingtothe
Contract,havecontinuedtotakesupplyofelectricitywithoutenteringintoafurthersupplyandsale
ContractwithUs.
2.2
WemustsellandYoumustpayUsforelectricityconsumedatthePremisesfromtheCommencement
Date.
2.3
(a)UnlessYouorWeendtheContractearlierunderthisclause2.3,thisContractcontinuesforaperiodof
1yearfromthedayitcameintoeffect.However,if1yearpasseswithouteitherYouorUsendingthe
Contractunderthisclause2.3,theContractisautomaticallyrenewedforanother1yearperiod.This
automaticrenewaloccurseachyearuntilYouorWeendtheContractunderthisclause2.3.
(b)IfYouendthisContractbecauseYouenterintoanewContractforthesupplyofelectricitywithUs,this
Contractendsontheexpiryofthecoolingoffperiod(ifapplicable)specifiedinthenewContract.
(c)IfYouendthisContractbecauseYouenterintoaContractforthesupplyofelectricitywithanother
retailer,thisContractendswhenWearedeemedtoreceivenotificationfromtheNetworkOperatorthat
YourPremiseshavebeentransferredtotheotherelectricityretailerinaccordancewiththeCustomer
TransferCode.
(d)IfYouaredisconnected,andWeterminatethisContract,theContractendswhenYounolongerhave
anyrighttoreconnection.
2.4
YoucanendtheContractatanytimebyadvisingUsatleast5BusinessDaysbeforethedayYouwantthe
Contracttoend.
2.5
WecanendtheContractbygivingYoupriornoticeifYou:
(a)becomeinsolvent(asdefinedintheCorporationsAct2001(Cth));or
(b)havealiquidatorappointed;or
(c)becomebankrupt(asdefinedintheBankruptcyAct1966(Cth));or
(d)commitabreachanyofYoursubstantialobligationsunderthisContract.
2.6
IftheContractends:
(a)WemayarrangeforafinalMeterreadingandfordisconnectiononthedaytheContractends;and
(b)WemayissueafinalbilltoYou;and
(c)WecanchargeYouafeeforthefinalMeterreading,disconnectionandfinalbill;and
(d)WecanremovetheElectricitySupplyEquipmentatanytimeandYoumustletUshavesafeand
unrestrictedaccesstothePremisestoallowUstodoso;and
(e)YouwillremainliabletopayanyoutstandingpaymentstoUsandWewillhavenofurtherobligationto
supplyelectricitytoYou;and
(f)YoumustenterintoanewContractwithUsifYouwantUstosupplyYouelectricity.
3.
ChargesandFees
YouarerequiredtopayUstheContractPriceandthepriceofothergoodsandservicesYouchoosetobuy
fromUs.TheContractPriceissetoutintheCustomerSchedule.

Youmustalsopayallcosts,feesandchargesWecanlawfullyrecoverfromYouundertheRelevant
Regulations,aswellasanytaxes,levies,regulatedcharges,costs,feesandchargesthatWehavetopay
whenWesellandsupplyelectricityandothergoodsandservicestoYou.IfYoubreachthisContractora
provisionoftheRelevantRegulationsYouwillberequiredtopayanycostsWeincurasaresultofthat
breach,aswellasanyFeesWechargeinrelationtothatbreach.
3.1
TheCustomerScheduleWeprovidetoYouasthefrontpagetothesetermsandconditionswillincludethe
followinginformation:
(a)Yourname;
(b)Yourcontactdetails;
(c)thesupplyaddress;
(d)someoftheElectricitySupplyEquipmentdetails;
(e)theContractPrice;
(f)thesupplydate;and
(g)theContractterm.
Ifmutuallyagreed,theCustomerSchedulemayalsobeusedtoamendthesetermsandconditions.This,
however,willresultintheContractbecominganon-standardcontractforthepurposeoftheCode.
3.2
AContractPricecanincludeafixedcomponentandausagecomponentbasedontheamountofelectricity
Youuse.Theusagecomponentcanbechargedatdifferentratesdependingupontheamountofelectricity
Youuse.
3.3
WecanchargeYouFeesthatareinadditiontotheContractPrice.YoumustpayUsthefeesthatapplyto
You.
3.4
IfWehaveagreedafixedContractTermwithYouandaContractPriceisspecifiedintheCustomer
Schedule,WecannotchangetheContractPricewithoutYourprioragreementduringtheContract,except
asprovidedinclauses3.5,3.6,and3.7.
3.5
WemayincreasetheContractPriceorFeesbyCPIoneach1January,1April,1Julyor1Octoberduring
theContract(“AdjustmentDate”)inaccordancewiththeCPIEscalationformula.
3.6
IfatanytimeaftertheexecutionofthisContractthereoccurs:
(a)achangeinexistingLaw(otherthanaLawrelatingtoincometaxorcapitalgainstax);or
(b)anewLaw(otherthanaLawrelatingtoincometaxorcapitalgainstax);
(includingaLawintroducingacarbontaxoremissiontradingschemeorotherwiseinrespectofcarbon)
whichdirectlyresultsinanincreaseordecreaseinOurcostofsupplyingelectricityunderthisContract
(“ChangeinLaw”),thenWemaychangetheContractPriceorFeesbasedonthenetfinancialeffectonUs
asaconsequenceoftheChangeinLaw,inallcasesbeingsufficienttoputUsintothepositionWewould
havebeeninhaditnotbeenfortheChangeinLaw.
3.7
IfachangeintheNetworkAccessTariffsoccurs,oranewNetworkAccessTariffisimposed,Wemayadjust
theContractPricetotheextentnecessarytoreflectthatproportionoftheeffectofthenewNetwork
AccessTariffsorchangeinNetworkAccessTariffswhichWeestimateingoodfaithisfairlyattributableto
orpayablebyYou,takingintoaccounttheamountofelectricityWesupplytoYou.
IfYouchangetherateatwhichYouuseelectricity,WemayadjusttheContractPricetotheextent
necessarytoreflectthatproportionofanyincreaseinNetworkAccessTariffswhichWeestimateingood
PerthEnergyStandardFormElectricityContractPESFEC08/16|Page3
faithisfairlyattributabletoorpayabletoYou,takingintoaccounttheamountofelectricityWesupplyto
You.
3.8
WecanchargeyoufeesthatareinadditiontoContractPrice.YoumustpayUsthefeesthatapplytoYou.
WecanchargeYouFeesfor:
(a)Youraccountapplication;and
(b)readingYourMeterwhenaccesswasnotpossible(seeclause11);and
(c)testingYourMeter(seeclause5.3);and
(d)sendingYouoverduenotices(seeclause6.2);and
(e)readingYourMeterwhenYoumoveoutofthePremises(seeclause12.4);and
(f)turningoffYourelectricityinsomesituations(seeclause14.3);and
(g)turningonYourelectricityinsomesituations(seeclause15);and
(h)removingorphysicallydisconnectingtheMeter(seeclause14);and
(i)replacingorphysicallyreconnectingtheMeter(seeclause12);and
(j)othernon-standardconnectioncosts;and
(k)otherFees.
Allchargesidentifiedinclauses3.2and3.3willbeitemisedoncustomers’bill.ForanexplanationofOur
feespleasevisitOurwebsiteorcallUs.
4.
Notices
4.1.
AnynoticeorothercommunicationgivenundertheContract:
(a)doesnothavetobeinwriting,unlesstheContractexpresslyrequiresthatthenoticeorcommunication
mustbeinwriting;
(b)subjecttoclause4.1(c),istakentobereceived:
(1)inthecaseofaverbalcommunication,atthetimeofthecommunication;and
(2)inthecaseofhanddelivery,onthedateofdelivery;and
(3)inthecaseofpost,onthesecondbusinessdayafterposting;and
(4)inthecaseoffacsimile,onthedateonwhichthesender’sfacsimilemachinerecordsthatthefacsimile
wassuccessfullytransmitted;and
(5)inthecaseofe-mail,onthedateonwhichthesender’scomputerorotherdevicefromwhichtheemailwassentrecordsthatthee-mailwassuccessfullytransmitted;and
(c)ifreceivedafter5.00pmoronadayotherthanaBusinessDay,istakentobereceivedonthenext
BusinessDay.
4.2.
InthisContract,whenWesayWewillpublishinformationWewill:
(a)postinformationonOurwebsite;or
(b)communicatetoYouinformationatthePremisesaccordingtoclause4.1.

4.3.
(a)Wecanuseelectroniccommunication(suchase-mailorSMS)togiveinformationtoYouwithYour
consent.
(b)Wecandecideproceduresastohowelectroniccommunicationwilloperateandwhatthingscanbe
communicatedelectronically.Formoreinformationaboutelectroniccommunication,visitOurwebsiteor
callUs.
5.
Billing
5.1.
WeusemeterreadingstoprepareYourbill.WebillYouontheamountofelectricityYouuse.
5.2.
WewilluseOurbestendeavourstoensurethattheNetworkOperatorreadstheMeteronceeveryBilling
CycleandtheNetworkOperatorreadstheMeteratYourPremisesatleastonceevery12months.
IfWebaseYourbillonanestimateofelectricityconsumption,uponYourrequest:
(a)WewilladviseYouofthebasisandthereasonsfortheestimation;and
(b)arrangeaMeterreading.
IfWehaveprovidedYouwithabillbasedonanestimateofelectricityconsumption,andsubsequently
Meterdatabecomesavailable,WewilladjusttheamountpayabletotakeintoaccountthatMeterdatain
Yournextbill.
5.3.
YoucanaskUstotesttheMetertoensurethatitismeasuringaccuratelyandWewillarrangeforthe
NetworkOperatortotesttheMeterifYoufirstpaytoUsaMetertestingfee.IfWefindthattheMeteris
notmeasuringaccurately,thenWewillrefundtheMetertestingfeetoYou.IftheMeterisnotmeasuring
accurately,WewillalsoarrangefortheNetworkOperatortoeitherrepairorreplacetheMeteratno
chargetoYou.
By“accurate”,WemeantheMeterismeasuringasaccuratelyasthelawrequires.
5.4
WewillbillYouatleastonceeverythreemonthsandinaccordancewiththeBillingCyclethatWesetfor
Ourcustomersfromtimetotime,unlessWeandYouhaveagreedotherwise.Asanindication,OurBilling
Cycleisnomorethanonceeveryonemonthandnolessthanonceeverythreemonths.
5.5
YourbillwillcontainthefollowinginformationrelevanttotheBillingCycle:
(a)theaccountnameandaccountnumber;and
(b)thePremisesaddressand(ifrequired)mailingaddress;and
(c)theContractPricethatWechargedYou;and
(d)theFeesWechargedYou;and
(e)theamountdueandtheduedate;and
(f)thetelephonenumberforbillingandotherpaymentenquiries;and
(g)thetelephonenumbertocontactifYouareexperiencingpaymentdifficulties(seeclause6.4for
informationaboutpaymentdifficulties);and
(h)the24-hourtelephonenumberforfaultsandemergencies;and
(i)thedatesandresultsofthepreviousandcurrentMeterreadingsorestimates;and
(j)Yourelectricityuseorestimateduse;and
(k)theMeterorpropertynumber;and

(l)thewaysYoucanpayYourbill,includinginformationaboutpaymentmethodsandpaymentoptions
availabletoYou(seeclause6.1forsomeofthepaymentoptions);and
(m)theamountofarrearsorcreditandthedetailsofanyadjustments;and
(n)theamountofanyotherchargeandthedetailsofanyserviceprovided;and
(o)theavailabilityofaMetertestontheconditionsdescribedinclause5.3;and
(p)interpreterservices;and
(q)theinterestrateWeappliedtoanyoutstandingamounts;and
(r)thedetailsofsecurityYouprovided(inaccordancewithclause7.2).
TheContractPriceandotherFeeswillbeseparatelyitemisedonYourbill.IfWeprovideYouwith
additionalgoodsandservicesduringtheBillingCycle,Wewillalsoincludeadescriptionofthosegoodsor
services.
6.
Payment
6.1
Youmustpaythetotalamountpayableforeachbillbytheduedatespecifiedinthatbill.Theduedatewill
beatleast12BusinessDaysfromthedateofthebill.
YoucanpayYourbillusingarangeofpaymentoptions,includingpaymentinpersonandbymail.
YoucanfindoutthefullrangeofpaymentoptionsthatYoucanchoosefrombyreferringtoYourbill,by
visitingOurwebsiteorbycallingUs.IfYouareunabletouseoneoftheseoptionsbecauseYouaregoing
tobeabsentforalongperiod(forexampleduetoillnessorextendedholiday)YoucanarrangewithUsto
redirectYourbillortomakepaymentsinadvance.
6.2
IfYoudonotpaythetotalamountpayableforanybillbytheduedate,thenWecan:
(a)sendaDisconnectionWarningtoYou;and
(b)chargeYouafeeforeachoverdueaccountnoticeWesendtoYou(butonlywhenwearelegally
entitledtochargeafee);and
(c)chargeYouinterestontheamountYouhavenotpaid;and
(d)disconnectYourelectricitysupply;and
(e)shortenYourBillingCycle.
Theinterestratechargedonoutstandingamountswillbe12.75percentperannum(calculateddaily).We
maychangethisrate.IfWedochangethisrate,Wewillpublishthechanges(seeclause4.2forhowWe
publishthings).
IfYoudonotpaythetotalamountpayableforanybillafterWesendaDisconnectionWarningtoYou,
thenWecanreferYourdebttoadebtcollectionagencyforcollectionandifWedoso,Youmustpayany
coststhatWeincurinconnectionwiththerecoveryoftheunpaidbill(includingtheagencyFeesandlegal
Fees).
IfYoupayabillandthepaymentisdishonouredorreversedand,asaresult,Weincurcostsorhavetopay
Feestoanyotherperson,YoumustreimburseUsforthosecostsandFees.
6.3
UnlessYoudirectUsotherwise:
(a)WewillapplyYourpaymenttotheamountdueforYourelectricityusebeforeapplyingittoother
items;and

(b)ifWealsosupplygastoYou,thenWewillapplyYourpaymenttotheamountdueforYourgasuseand
electricityuseinequalproportionsbeforeapplyingittootheritems.
6.4
IfYouarehavingtroublepayingYourbills,pleaseadviseUs.
Asanindication,WewillofferthefollowingoptionstoYou:
(a)instalmentplanoptions,suchasaPaymentPlan;or
(b)redirectionofabilltoathirdperson;or
(c)informationabout,andreferralto,governmentassistanceprograms;or
(d)informationaboutindependentfinancialcounsellingservices.
WewillassessYourrequestwithin3businessdaysofYourrequestandWewillofferYouassistancein
accordancewithOurPaymentDifficultiesandFinancialHardshipPolicy.
Formoreinformationaboutgovernmentassistanceprogramsandindependentfinancialcounselling
services,visitOurwebsiteorcallUs.
6.5
IfYouaskUs,andatthetimeoftherequestYouareOurcustomer,WewillgiveYouacopyofYourbilling
dataheldbyUsforthePremises.WewilluseOurreasonableendeavourstoprovideitwithin10business
daysofYourrequest.
UnlessWearerequiredbylawtoprovidethebillingdatafreeofcharge,WecanaskYoutopaya
reasonablefeebeforeWeprovidethedatatoYou.Forexample,WemustprovideYouwithhistorical
billingdatafreeofcharge:
(a)fortheperiod2yearsbeforearequest;and
(b)iftherequestisinrelationtoacomplaintmadebyYoutotheElectricityIndustryOmbudsman.
IfYouwantbillingdataforaperiodbeforethedateWestartedtosupplyYouelectricity,Youwillneedto
askYourformerelectricityretailerforthebillingdata.

CreditworthinessandRefundableAdvances
7.1
YouauthoriseUstoconductacreditcheckassessmentonYou.
7.2
WecanrequireYoutoprovideUswithasecurityfromtimetotime.Usually,securitywouldbeintheform
ofacashdepositorabankguarantee.
TheamountofYoursecuritywillbenomorethan1.5timesYouraveragebillifYoupayquarterlyor2
timesYouraveragebillifYoupaymonthly.TodetermineYouraveragebill,WecanuseYourbillinghistory
takenoverthe3precedingbillingcyclesortheconsumptionhistoryofsimilarcustomersorbusiness
types.
IfYouprovideasecurityunderthisclause,then:
(a)WewillkeepthesecurityinatrustaccountandidentifyitseparatelyinOuraccountingrecords;and
(b)interestwillaccruedailyatthebankbillrate(asdefinedintheRelevantRegulations)andiscapitalised
every90daysunlesspaid.
7.3
WewillonlyuseYoursecurity,togetherwithanyaccruedinterest,tooffsetanyamountYouoweUsif:
(a)YourfailuretopayabillresultedinthedisconnectionofsupplyatthePremises;or
(b)Youdefaultonafinalbill;or

(c)YoudefaultonYourbillandYouandUsagreethatWecanusethesecuritytoavoiddisconnection;or
(d)YouhavesorequestedbecauseYouareleavingthePremisesoraskedUstodisconnectsupplyatthe
Premises;or
(e)Youtransfertoanotherretailer.
7.4
IfWeuseYoursecurityunderclause7.3above,thenwithin10BusinessDaysWewillprovideYouwithan
accountandpayYouanybalancetogetherwithanyinterest.
8.
GST
8.1
Inthisclause:
(a)AnexpressionorwordusedinthisclausewhichhasaparticularmeaningintheGSTLaw,orinany
applicablelegislativedeterminations,hasthesamemeaning,unlessthecontextotherwiserequires;and
(b)AreferencetoGSTpayablebyapartyincludesanycorrespondingGSTpayablebytherepresentative
memberofanyGSTgroupofwhichthatpartyisamember,andareferencetoaninputtaxcredit
entitlementofapartyincludesanycorrespondinginputtaxcreditentitlementoftherepresentative
memberofanyGSTgroupofwhichthatpartyisamember.
8.2
UnlessGSTisexpresslyincluded,anyamountpayableunderthisContractforanysupplymadeunderorin
connectionwiththisContractdoesnotincludeGST.
8.3
TotheextentthatanysupplymadeunderorinconnectionwiththisContractisataxablesupply,theGST
exclusiveconsiderationotherwisepayableorprovidedforthattaxablesupplyisincreasedbyanamount
equaltothatconsiderationmultipliedbytherateatwhichGSTisimposedinrespectofthetaxablesupply,
andsubjecttoreceiptofaneffectivetaxinvoice,ispayableatthesametime.
8.4
Ifforanyreason(including,withoutlimitation,theoccurrenceofanadjustmentevent)theamountofGST
paidonataxablesupply(takingintoaccountanydecreasingorincreasingadjustmentsinrelationtothe
taxablesupply)variesfromtheGSTpaidbyYou:
(a)WemustprovidearefundorcredittoYou,orYoumustpayafurtheramounttoUs,asappropriate,at
thesametimeastheGSTexclusivecomponentoftheadjustmentisrefundedorpaid;
(b)therefund,creditorfurtheramount(asthecasemaybe)willbecalculatedbyUsinaccordancewith
theGSTLaw;and
(c)WemustnotifyYouoftherefund,creditorfurtheramountwithin14daysafterbecomingawareofthe
variationtotheamountofGSTpayable.Ifthereisanadjustmenteventinrelationtothesupply,Our
requirementtonotifyYouwillbesatisfiedbyUsissuingtoYouanadjustmentnotewithin14daysafter
becomingawareoftheoccurrenceoftheadjustmentevent.
8.5
Eachpartyagreestodoallthings,includingprovidingtaxinvoicesandotherdocumentation,thatmaybe
necessaryordesirabletoenableorassisttheotherpartytoclaimanyinputtaxcredit,adjustmentor
refundinrelationtoanyamountofGSTpaidorpayableinrespectofanysupplymadeunderorin
connectionwiththisContract.
8.6
IfapaymenttoapartyunderthisContractisapaymentbywayofreimbursementorindemnityandis
calculatedbyreferencetotheGSTinclusiveamountofaloss,costorexpenseincurredbythatparty,then
thepaymentistobereducedbytheamountofanyinputtaxcredittowhichthatpartyisentitledin
respectofthatloss,costorexpensebeforeanyadjustmentismadeforGSTpursuanttoclause8.3.

9.
ReviewofBill
9.1
WewillreviewabillatYourrequest,providedthatYouagreetopayanyfuturebillsand:
(a)theportionofthebillunderreviewthatYouandWeagreeisnotindispute;or
(b)anamountequaltotheaverageamountofYourbillsfortheprevious12months.
Ifthebillisfoundtobeincorrect,Wewilldealwiththeresultingoverchargeorunderchargeinaccordance
withthesetermsandconditions.Ifthebillisfoundtobecorrect,YoumayrequesttohaveYourMeter
testedtoestablishwhetheritismeasuringaccurately.IftheMeterisfoundtocomplywiththeMetering
standardssetintheMeteringCode,YoumustpayUsallcostsassociatedwiththetestandpaytheamount
ofthebill.
9.2
WemayrecoverfromYouanyamountYouhavebeenundercharged.WhereYouhavebeenundercharged
asaresultofOurerror,includingaMeteringerror,Wewillonlyrecovertheamountunderchargedinthe
last12monthspriortotheMeterreadingdateonthelastbillsenttoYou(the“UnderchargedAmount”)

aseparateitemonYourbill,togetherwithanexplanationoftheamountthatwasundercharged.
WemayofferYoutheopportunitytopaytheUnderchargedAmountininstalments.WhereWehave
underchargedYouasaresultoffraudbyYou,WemaytakeactionagainstYou.Thismayinclude:
(a)disconnectingsupplytoYourPremisesincertaincircumstances;
(b)estimatingtheelectricityusageatthePremisesforwhichYouhavenotpaidUs;and
(c)takingdebtrecoveryactionagainstYoufortheunpaidamountaswellasanydisconnectioncostsand
Ourreasonablelegalcosts.
IfYouhavebeenoverchargedWewill:
(a)notifyYouofthisoverchargingwithin10BusinessDaysafterWebecomeawareoftheovercharging;
(b)provideYouwitharefundfortheoverchargedamount(“CorrectingRefund”);
(c)refundanychargetoYoufortestingthemeterwheretheMeterisfoundtobedefective;and
(d)notpayYouinterestontheCorrectingRefund.
WhereWearerequiredtopayYouaCorrectingRefundundertheContract,YoucanchoosewhetherWe
maketheCorrectingRefundas:
(a)acredittoYouraccount;
(b)apaymentdirectlytoYou;or
(c)apaymenttoathirdparty(ifYouhavegivenUswritteninstructionstothiseffect).
IfYouinstructUstocredittheoverpaymenttoYouraccountorrepayittoYou,Wewillcreditorrepaythe
overpaymentinaccordancewithYourinstructionswithin12BusinessDaysofreceivingtheinstructions.If
WedonotreceiveanyinstructionsfromYouwithin20BusinessDaysofUsadvisingYouofthe
overpayment,WewilluseOurreasonableendeavourstocredittheamountoverchargedtoYouraccount.
10.
Metering
10.1
WeortheNetworkOperatorwillprovide,installandmaintainElectricitySupplyEquipment,includingthe
meterandnecessaryancillaryequipmentatthePremises,afterdueconsiderationofYourwishes.

TheElectricitySupplyEquipmentremainsthepropertyoftheNetworkOperatoratalltimesandthe
NetworkOperatorisresponsibleforinstallingandmaintainingtheElectricitySupplyEquipment.
YoumustnotdoanythingthatwilldamageorinterferewiththeElectricitySupplyEquipmentoruse
electricityinawaythatinterfereswiththatequipment.
“ElectricitySupplyEquipment”meanstheMeterandanyelectricalfacilitiesorotherequipmentusedto
transmitormeasureelectricityfortransfertoYou,beforethepointwhereelectricityistransferredfrom
theMeter.
10.2
YouareresponsibleforkeepingYourEquipmentingoodworkingorderandconditionandtaking
reasonableprecautionstoprotectYourEquipmentagainstsurgesorinterruptionintheelectricitysupplied
toYou.Youmustnotletanyoneotherthantheholderofanelectricalworker'slicensegrantedunderthe
Electricity(Licensing)Regulations1991(WA)workonYourEquipment.“YourEquipment”isallequipment
locatedafter(downstreamof)thepointthatelectricityleavestheMeteratthepremiseswhichisusedto
takesupplyoforconsumeelectricityexceptanyElectricitySupplyEquipment.
10.3
Youmustnot:
(a)tamperwith,bypass,circumventorotherwiseinterferewiththeElectricitySupplyEquipment;or
(b)doanythingthatwillpreventUsfromaccessingtheElectricitySupplyEquipment;or
(c)useelectricityinawaythatinterfereswiththesupplyofelectricitytoanyoneelseorcauseslossto
anyoneelse;or
(d)unlessYouhaveOurpermission,turntheMeteroniftheMeterhasbeenturnedoffbyUsorbythe
NetworkOperator;or
(e)allowanyoneelsetodothethingsdescribedinthisclause10.3.
11.
Access
(a)YoumustletUsorpersonsnominatedbyUs(includingtheNetworkOperator)havesafeand
unrestrictedaccesstothePremiseswhenWeneedit:
(1)toreadtheMeter;or
(2)toinspectorworkontheElectricitySupplyEquipment;or
(3)toinspecttheelectricityinstallation;
(4)todisconnectorreconnectYourelectricitysupply;or
(5)toinspectorworkonYourEquipment;or
(6)foranyotherreasonrelatingtothesupplyofelectricitytothePremises.
(b)WewillgiveYou24hours’noticebeforeWeortheNetworkOperatorentersthePremisesforthe
purposesallowedinthisContract,except:
(1)forroutineMeterreadingorMeterreplacement;or
(2)inanemergency;or
(3)ifWesuspectthatelectricityisbeingusedillegallyatthePremises.
(c)IfWeortheNetworkOperatorentersthePremisesforthepurposesofplannedworkthenWewillgive
Youatleast4BusinessDays’notice.

(d)AnyrepresentativeoftheNetworkOperatororUswhoentersthePremiseswillwear,inavisible
mannerinaccordancewithOurortheNetworkOperator’srequirements,officialidentificationorwillcarry
suchidentificationandshowittoYouifYouareatthePremises.
12.
ElectricitySupplyatYourpremises
12.1
IfYoumoveintothePremises,thenbeforeWesupplyYouelectricityatthePremises,WecanrequireYou
to:
(a)applytoUsforelectricitysupply(byphone,bye-mail,inpersonorinwriting)andprovideUswith
identificationWeconsideracceptable;and
(b)provideUswithassurancethatWewillbeabletoaccesstheMeter(andotherElectricitySupply
Equipment)accordingtoclause11;and
(c)provideUswithcontactdetailsforbillingpurposes;and
(d)provideUswithcontactdetailsofthepropertyowneroragentifthePremisesisarentalproperty;and
(e)inthecaseofanewelectricityconnection,provideUswithinformationaboutYourestimated
electricityusage;and
(f)agreetopayUsallrelevantchargesandfeesaccordingtothisContract;and
(g)provideUswithasecurityinaccordancewithclause7.2;and
(h)payUsanyoutstandingdebtYouoweUsforthesupplyofelectricityatanotherPremises(butnot
debtsthataresubjecttoadisputeorrepaymentarrangements).
12.2
WewillsellYouelectricityfromthedaythatYourelectricitysupplyisturnedonatthePremises.Wewill
useOurbestendeavourstomakesupplyavailabletoYouatthePremisesbythedateWeagreedtosell
Youelectricityor,ifnodatewasagreed,within20BusinessDaysfromthedateofYourapplication.
IfYoumoveintothePremisesanditdoesnotalreadyhaveanexistingelectricityconnection,thenbefore
WesupplyYouelectricityatthePremiseseachofthefollowingconditionsmustbesatisfied:
(a)Youdothethingslistedinclause12.1;and
(b)theElectricitySupplyEquipment(anditsinstallation)complieswiththeregulatoryrequirements;and
(c)ifWeaskYou,YouhavegivenUsnoticesofinstallationfromaelectricityinstaller;and
(d)thereisanadequatesupplyavailableattheboundaryofthePremises.
12.3
IfatthetimeofenteringintotheContract,YouaresuppliedelectricityatthePremisesbyanelectricity
retailerotherthanUs,WewillbegintosupplyYouwithelectricityundertheContractonthedateYouare
transferredfromtheotherelectricityretailertoUsbytheNetworkOperatorinaccordancewiththe
CustomerTransferCode.
BeforeWesupplyelectricitytoYouatthePremises,eachofthefollowingconditionsmustbesatisfied:
(a)Youdothethingslistedinclause12.1;and
(b)theElectricitySupplyEquipment(anditsinstallation)complieswiththeregulatoryrequirements;and
(c)thereisanadequatesupplyavailableattheboundaryofthePremises;and
(d)theMeteratthePremisesisavailabletouse.

12.4
(a)IfYoumoveoutofthePremisesandnolongerwishtoobtainelectricitysupplyatthePremises,You
mustadviseUs:
(1)atleast3BusinessDaysbeforeYoumoveout;and
(2)ofanaddresswherethefinalbillcanbesent.
(b)IfYouadviseUsasdescribedinclause12.4(a),andYoumoveoutofthePremisesatthetimespecified
inYournotice,thenWewillmakeafinalMeterreadingonthedaythatYoumoveoutofthePremisesand
issueafinalbilltoYou.Inthatcase,YouareonlyrequiredtopayforelectricityuseduptothedayYou
moveoutofthePremises.
(c)IfYouadviseUsasdescribedinclause12.4(a),andYoumoveoutofthePremisesbeforethetime
specifiedinYournoticethenYoumustpayforelectricityuptothetimespecifiedinYournoticeunlessYou
havedemonstratedtoUsthatYouwereevictedfromthePremisesorwereotherwiserequiredtovacate
thePremises.
(d)IfYoudonotadviseUsasdescribedinclause12.4(a),thensubjecttoanyapplicablelaws,Wemay
requireYoutopayforelectricityusedatthePremisesforuptoamaximumof5daysafterWediscover
thatYouhavemovedoutofthePremises.However,WewillnotrequireYoutopayforelectricityusedat
thePremisesfromthetimethatanewcustomerhasanobligationtopayforelectricitysupplyatthe
PremisesunderanewContract.
(e)IfYourfinalbillisincreditafterYouhavepaidUsallamountspayableunderclause12.4,thenYoucan
choosetohaveUscreditYournewaccountwiththisamountorrepaytheamounttoYou.
12.5
Youagreeto:
(a)co-operatewiththeNetworkOperatorinrelationtoconnectingYourPremisestotheElectricity
Network;and
(b)allowUstogivetheNetworkOperatorYourdetails.
AlthoughWeareseparatecompanies,WemayasktheNetworkOperatortodothingsforUs(suchasturn
onYourelectricitysupplyorreadYourMeter).WheretheContractsaysWewilldothingsthatrelatetothe
disconnectionorreconnectionofsupplyandtheElectricitySupplyEquipment,WemayasktheNetwork
OperatortodothosethingsforUs.
13.
Disputes
13.1
IfYouwishtoraiseacomplaintconcerningOurperformanceorYourelectricitysupply,WeencourageYou
tocontactUstodiscusstheissue.WewillmanageanycomplaintaccordingtotheAustralianStandardon
ComplaintsHandlingASOISO10002-2006andOurCustomerComplaintsPolicy.
13.2
IfYouareunhappywithOurresponse,YoumaymakeacomplainttoahigherlevelwithinOur
managementstructure.IfYouarestillunhappywithOurresponse,thenYoumayreferthecomplaintto
theElectricityIndustryOmbudsman(YoushouldgiveUstheopportunitytorespondtoYourcomplaint
beforeYoureferittotheElectricityIndustryOmbudsman).FormoreinformationaboutOurcomplaints
handlingprocessandtheElectricityIndustryOmbudsman,visitOurwebsiteorcallUs.
14.
Disconnection
14.1
WecaninterruptordisconnectYourelectricitysupply,atanytimewithoutnoticetoYouinanEmergency,
ifWearepermittedorrequiredbylaworiftheNetworkOperatorrequiresUstodoso.Inthiscase,You

cangetinformationonthenatureoftheEmergencyandanestimateofwhenelectricitysupplyislikelyto
berestoredbycontactingtheNetworkOperator's24-houremergencyline.
WewilltrytoarrangefortheNetworkOperatortoturnYourelectricityonagainassoonaspossible.
NothingintheContractlimitsOur,ortheNetworkOperator's,statutorypowersinrelationtoemergencies
andsafety.
14.2
WecaninterruptordisconnectYourelectricitysupplyiftheNetworkOperatorneedstocarryoutplanned
workontheElectricityNetwork.Ifthisoccurs,WewillprovideYouwithnoticeofanyplannedworkas
requiredbyanyRelevantRegulations.
14.3
Inadditiontothereasonsinclauses14.1and14.2,WecanarrangetheNetworkOperatortodisconnect
Yourelectricitysupply,actinginaccordancewithclause14.4andapplicablelaws(seeclause16for
informationabouttheNetworkOperator),if:
(a)Youfailtopayabill(eitherforthePremisesorapreviousPremises)infullbytheduedateshownon
thebill(seeclause5forinformationaboutbilling);or
(b)YoudonotagreetoaPaymentPlanorotherpaymentoption;or
(c)YoudonotperformYourobligationsunderaPaymentPlanorotherpaymentoption;or
(d)YoudonotgiveUsortheNetworkOperatorsafeandunrestrictedaccesstothePremisesortheMeter
(seeclause10forinformationaccessingthepremises);or
(e)YoucommitafraudrelatingtoOursupplyofelectricitytoYouatthePremisesoranyotherPremises;or
(f)YougetelectricitysuppliedtothePremisesillegallyorinbreachofaRelevantRegulationorcode;or
(g)whereWerequireYoutoprovideUssecurity,YoufailtoprovideittoUs(seeclause7.2forinformation
aboutsecurity);or
(h)YoufailtokeepYourEquipmentingoodworkingorderorcondition(seeclause10forinformation
aboutYourEquipment);or
(i)YougetelectricitysuppliedtothePremisesinbreachofthisContract.
WecanchargeYouafeefordisconnectingYourelectricitysupplyinthesecircumstances.
14.4
IfWewishtodisconnectYourelectricitysupplybecauseYoufailtopayabill,thenWewill:
(a)giveYouaReminderNoticenotlessthan13BusinessDaysfromthedatethatWeissuedYouthebill
advisingYouthatpaymentisoverdueandrequiringpaymentbyaspecifieddate(whichwillbenotless
than18BusinessDaysafterthedatethatWeissuedYouthebill);and
(b)ifYoustillhavenotpaidUsbythetimeindicatedintheReminderNotice,thengiveYouaDisconnection
WarningadvisingYouthatWewilldisconnectYouonadaythatisatleast5BusinessDaysafterWegive
YoutheDisconnectionWarning;and
(c)notdisconnectYouuntilatleast1BusinessDayafterthedatethatWesayWewilldisconnectYour
electricitysupplyintheDisconnectionWarning;
(d)adviseYouoftheexistenceandoperationofOurCustomerComplaintsPolicy,includingtheexistence
andoperationoftheElectricityIndustryOmbudsmanandspecifyingtheFreecalltelephonenumberofthe
ElectricityIndustryOmbudsman.
WewillnotdisconnectYouunless:
(a)YouhavenotacceptedOurofferofaPaymentPlan(ifany)withinthespecifiedperiod;or

(b)YouhaveacceptedOurofferofaPaymentPlan,butnothavetakenreasonableactiontowardssettling
thedebtwithinthespecifiedtime.

14.5
IfWewishtodisconnectYourelectricitysupplybecauseYoufailtogiveUsortheNetworkOperatoraccess
tothePremises,Wewill:
(a)onlydisconnectYouifYouhavedeniedaccessforthepurposesofreadingtheMeterforthepurposes
ofissuing3consecutivebills;and
(b)giveYouanoticerequestingaccesstotheMeteratthePremiseseachtimeaccesswasdenied;and
(c)useOurbestendeavourstocontactYou;and
(d)giveYouanopportunitytoofferreasonablealternativeaccessarrangements;and
(e)sendtoYouaDisconnectionWarningadvisingYouthatWewilldisconnectYourelectricitysupplyona
daythatisatleast5businessdaysafterYouaredeemedtoreceivetheDisconnectionWarning.
14.6
IfWewishtodisconnectYourelectricitysupplyunder14.3(g)becauseYoufailtoprovideanyrequired
securitytoUs,WewillonlydisconnectYourelectricitysupplyafterWesendtoYouaDisconnection
WarningadvisingYouthatWewilldisconnectYourelectricitysupplyonadaythatisatleast5business
daysafterYouaredeemedtoreceivetheDisconnectionWarning.
14.7
WemustnotdisconnectYourelectricitysupplyif:
(a)YougiveUsastatementfromaMedicalPractitionerstatingthatYourelectricitysupplyisnecessaryto
protectthelifeorhealthofapersonwholivesatthePremisesandYouhaveenteredintoarrangements
acceptabletoUsinrelationtopayment;or
(b)Youhaveappliedforagovernmentconcessionorgrantandtheapplicationhasnotbeendetermined;
or
(c)YouhavemadeacomplainttotheElectricityIndustryOmbudsmanaboutamatterdirectlyrelatingto
thereasonfortheproposeddisconnectionandthecomplaintremainsunresolved;or
(d)YouhaveagreedtoaPaymentPlanorotherpaymentoption;or
(e)YoucannotpayYourbillbecauseofalackofincomeorothermeansandWehavenotdonethethings
Wemustdoinclause14.4;or
(f)YouhavenotpaidYourbill,buttheoutstandingamountislessthananaveragebillovertheprevious12
months,andYouhaveagreedtorepaytheoutstandingamount;or
(g)YouhaveanamountoutstandingonYourbillthatdoesnotrelatetothesupplyofelectricitybutrelates
tosomeothergoodorservice;or
(h)disconnectionwouldoccurafter12:00noononaFriday,after3.00pmonanyotherWeekday,ona
WeekendoronaPublicHolidayortheBusinessDaybeforeaPublicHoliday,exceptinthecaseof
interruptionsordisconnectionsforplannedwork(seeclause14.2forinformationaboutplannedwork);or
14.8
IftheNetworkOperatordisconnectsYourelectricitysupplyatOurrequestunderthisclause14,then:
(a)WecanorYoucanarrangefortheNetworkOperatortoremoveorphysicallydisconnectthemeterat
thesametimethatthesupplyofelectricitytoYouisdisconnected,oratalatertime;and
(b)WecanchargeYouafeeforremovingorphysicallydisconnectingthemeterandreplacingorphysically
reconnectingtheMeterexceptifouractionsweredueto:

(i)anEmergencynotcausedbyYou;or
(ii)plannedwork;and
(c)Youmustnotreconnecttheelectricitysupply.
14.9
IfWethinkYouhaveused,orareobtainingelectricityillegally,thenWecanadvisetheDirectorofEnergy
Safety,theNetworkOperatorandthePolice(asappropriate)andgivethemanyinformationthatWehave
inrelationtoYourelectricityuse.
14.10 WecanchargeYouafeefordisconnectingYourelectricitysupplyexceptifthedisconnectionwasdueto:
(a)anEmergencynotcausedbyYou;or
(b)plannedwork.
15.
Reconnection
IfYourelectricitysupplyisdisconnectedunderclause14,thenWewillarrangefortheNetworkOperator
toreconnectYourelectricitysupplywhenYouaskUstoreconnectYourelectricitysupplyandWeare
reasonablysatisfiedthatthecircumstancesgivingrisetothedisconnectionnolongerexist.
WecanchargeYouafeeforreconnectingYourelectricitysupplyexceptifthedisconnectionwasdueto:
(a)anEmergency;or
(b)plannedwork.
16.
OurresponsibilityforElectricitySupply
InordertosellelectricitytoYou,WeasktheNetworkOperatortodelivertheelectricitythroughthe
ElectricityNetwork.
TheElectricityNetworkisoperatedbytheNetworkOperatorandWecannotcontrolthewayinwhichthe
NetworkOperatoroperatestheElectricityNetwork.Forexample,Wecannotcontrolthequalityor
continuityofelectricitybeingsuppliedtoYouthroughtheElectricityNetwork.
However,ifYouareaConsumer,thencertainconsumerguaranteestodowithOursupplyofelectricityto
YouwillariseundertheAustralianConsumerLawinSchedule2totheCompetitionandConsumerAct
2010(Cth)andtheFairTradingAct2010(WA).Thesetermscannotbeexcludedormodifiedbyany
provisionofthiscontract.
ExceptwhereYouareaConsumerandaconsumerguaranteerequiresUstodoso:
(a)WedonotguaranteethattheelectricitysuppliedtoYouwillbeofanyparticularqualityorthatYouwill
obtainacontinuoussupplyofelectricitywithoutinterruptions;and
(b)WewillnotbeliabletoYoufor:
(1)anylossordamageassociatedwithanysurgeintheelectricitysupplyorUsfailingtosupply
electricitymeetinganyparticularquality;or
(2)businessinterruptionloss;or
(3)lostprofits;or
(4)lossofanopportunity;or
(5)Yourliabilitytootherpeopleundercontractsorotherwise,

whetherarisingfromorinconnectionwithOurbreachofContract,Ourbreachofstatutoryduty,
Ournegligenceorotherwise.
Asanelectricityretailer,WearenotresponsibleformattersrelatingtotheoperationoftheElectricity
Network.However,toassistYouwhenYouraiseaconcernwithUsaboutYourelectricitysupply,Wecan:
(a)supplyYouwithacopyofthedistributionstandardsifYoupayUsafee;and
(b)respondtoarequestaboutchangesinthequalityofYourelectricitysupplythatexceedthedistribution
standards;and
(c)adviseYouaboutthingsYoucandotoavoidinterferingwithElectricityNetworkequipmentoranother
person’selectricitysupply;and
(d)forwardYourconcernstotheNetworkOperator.

17.
Liability
17.1
NotwithstandinganyotherprovisionofthisContract,nothinginthisContractistobereadasexcluding,
restrictingormodifyingtheapplicationofanylegislationwhichbylawcannotbeexcluded,restrictedor
modified.
17.2
ExceptasexpresslysetoutinthisContract,anyrepresentation,warranty,conditionorundertakingwhich
wouldbeimpliedinthisContractbylaw,isexcludedtothemaximumextentpermittedbylaw.
17.3
Ourliability,ifany,underthisContractislimitedtothemaximumextentpermittedbysection64Aofthe
AustralianConsumerLawinSchedule2totheCompetitionandConsumerAct2010(Cth).Thatis,in
relationtothesupplyofgoodsorservicesnotofakindordinarilyacquiredforpersonal,domesticor
householduseorconsumption,OurliabilityforbreachofthisContractislimitedto(atOuroption):
(a)inthecaseofgoodsbeingelectricity:
(1)thereplacementoftheelectricityorthesupplyofequivalentelectricity;or
(2)thepaymentofthecostofreplacingtheelectricityorofacquiringequivalentelectricity;or
(b)inthecaseofservices:
(1)thesupplyoftheserviceagain;or
(2)thepaymentofthecostofhavingtheservicessuppliedagain.
17.4
BusinessCustomersmusttakereasonableprecautionstominimisetheriskoflossordamagetoany
equipment,PremisesorbusinessoftheBusinessCustomer,whichmayresultfrompoorquality,or
reliabilityofelectricitysupply.
18.
PrivacyandPersonalInformation
UnlessWearepermittedtodootherwiseunderthisContract,WewillkeepYourinformationconfidential
inaccordancewiththeproceduresandstepssetoutinOurPrivacyPolicy.InparticularWewillkeepYour
informationconfidentialunless(inaccordancewiththeCode):
(a)WehaveYourpriorwrittenconsent;or
(b)thelaw(includinganyregulatory,accounting,governmental,Ministerialorstockexchange
requirement)requiresorpermitsUstodoso;or

(c)WeneedtousetheinformationforOurregulatoryreportingorcompliance,orinanylegalor
regulatoryproceedings;or
(d)theinformationisalreadyinthepublicdomain;or
(e)WebelieveYouhaveusedelectricityillegallyand,asaresult,Weproviderelevantinformationtothe
EconomicRegulationAuthorityortheDirectorofEnergySafety;or
(f)Weusetheinformationforbusinesspurposes.
(g)YouhavenotpaidYourelectricitybill,andWediscloseinformationtoacreditreportingagency,butWe
willnotprovideinformationaboutadefaulttoacreditreportingagencyif:
(i)Youhavemadeacomplaintingoodfaithaboutthedefaultandthecomplainthasnotbeenresolved;or
(ii)YouhaverequestedUstoreviewYourelectricitybillandthereviewisnotyetcompleted.

WewillprovideormakethefollowingavailabletoYou:
(a)acopyofthetermsandconditionsofthisContract;and
(b)acopyoftheRelevantRegulationsandacopyofanycode;and

(h)Yourbillingdataaccordingtoclause6.5;and
(i)anyotherinformationWesaidWewouldgiveYouinthisContract.
UnlessWearelegallyrequiredtoprovidetheinformationfreeofcharge,WewillchargeYouareasonable
fee.
19.2
YoumustadviseUsassoonaspossibleif:
(a)thereisachangeinYourcontactdetailsortheaddresstowhichYourbillsaretobesent;or
(b)thepersonresponsibleforpayingYourbillschanges;or
(c)YouchangesomethingatthePremiseswhichmakesOuraccesstotheMetermoredifficult;or
(d)YoubecomeawareofaproblemwiththeElectricitySupplyEquipmentwhichisat,orreasonablyclose
to,thePremises;or
(e)YouchangethewayYouuseelectricity(suchasifYounolongeruseYourelectricitysupplyfora
residentialpurpose);or
(f)YouareplanningachangetoYourEquipmentthatmayaffectthequalityorsafetyofelectricitysupply
toYouoranyoneelse.

Assignment
20.1
YoumaynotassignthisContractwithoutOurpriorwrittenconsent.
20.2
Wemayassign,orotherwisedisposeofthewholeoranypartofOurinterestinthisContracttoaperson
whoacquiresallorasubstantialportionoftheassetsofOurbusinessofretailingenergywithoutYour
priorconsent.
21.
Variation
21.1
WecanchangethetermsandconditionsoftheContractfromtimetotimewithoutYourconsentsubject
tothosechangesbeingapprovedbytheEconomicRegulationAuthority,inwhichcaseYourContractwill
bedeemedtobeamendedtoreflectthosechanges.Anychangestothetermsandconditionswillbe
publishedasrequiredbytheEconomicRegulationAuthority.
21.2
IfYoudonotagreewithanamendmentapprovedbytheEconomicRegulationAuthority,thenYoucan
endthisContractbydoingthethingsdescribedinclause2.
22.
ForceMajeure
22.1
TheobligationsofthepartiesunderthisContractshallbesuspended(excepttheobligationtopayany
moneyowing),totheextenttowhichtheyareaffected,ifthatfailureordelayisduetoanycauseor
conditionbeyondthereasonablecontrolofthatparty(ForceMajeureEvent)foraslongastheForce
MajeureEventcontinues.
22.2
ThepartyaffectedbyaForceMajeureEventmustgivetheotherpromptnoticeofthatfactincludingfull
particularsoftheForceMajeureEvent,anestimateofitslikelyduration,theobligationsaffectedbyitand
theextentofitseffectonthoseobligationsandthestepstakentoremove,overcomeorminimiseits
effects.
22.3
IftheeffectsofaForceMajeureEventarewidespread,WewillbedeemedtohavegivenYouprompt
noticeinaccordancewithclause22.2ifWemakethenecessaryinformationavailablebywayofa24hour
telephoneservicewithin30minutesofbeingadvisedoftheForceMajeureEventorotherwiseassoonas
practicable.
22.4
ThepartyaffectedbyaForceMajeureEventmustuseitsbestendeavourstoremove,overcomeor
minimisetheeffectsoftheForceMajeureEventasquicklyaspossibleexceptthatthisdoesnotrequirethe
partytosettleanyindustrialdispute.
23.
General
23.1
NothingintheContractlimitsorexcludestherights,powersandremediesthatWehaveatlaworin
equity.
TheContractalsodoesnotinanywaylimitOurobligationtocomplywiththelawfuldirectionsofthe
MinisterforEnergyortheCoordinatorofEnergyortheDirectorofEnergySafetyinrelationto
emergenciesandsafetyorotherwise.
23.2
TheContractandallapplicablewrittenlaws,representtheentireagreementbetweenYouandUsrelating
tothematterscoveredbythisContract.
23.3
Clauses3,4,6,7.3,7.4,9.2,11,12,18and23.6willsurviveterminationofthisContract.

IfanytermorclauseofthisContractisorbecomesinvalidorisunenforceable,thentheothertermswill
remainvalidandwillbeunaffectedforthedurationofthisContract.

IfWedonotexerciseOurrightsunderthisContractitwillnotconstituteawaiverofthoserights.
23.6
IfYouhaveconsumedelectricityfraudulentlyornotinaccordancewithapplicableLaw,Wemayrecover
fromYouanyamountwhichWereasonablyestimateconstitutestheamountbywhichWehavenot
chargedorunderchargedYou.
23.7
TheContractisgovernedbythelawsoftheStateofWesternAustralia.
24.
UnsolicitedConsumerAgreement
WherethisContractisanUnsolicitedConsumerAgreement:
(a)YouhavearighttoendtheContractwithintheCooling-offPeriod;
(b)WewillnotsupplyelectricitytoYouundertheContractduringtheCooling-offPeriodunlessYou
requestsupply;and
(c)YoumustpayUsforelectricitysuppliedandforanyservicesprovidedinconnectionwiththatsupplyif:
(i)attherequest,electricityissuppliedtoYoubyUsduringtheCooling-offPeriod;and
(ii)YouexerciseYourrighttoendtheContractduringtheCooling-offPeriod.
25.
Interpretation
IntheContract,unlessthecontextotherwiserequires:
(a)thesingularincludesthepluralandviceversa;and
(b)areferencetoanythingisareferencetothewholeoranypartofitandareferencetoagroupof
thingsorpersonsisareferencetoanyoneormoreofthem;and
(c)areferencetoapersonincludesapublicbody,company,orassociationorbodyofpersons,
incorporatedorunincorporated;and
(d)areferencetoapersonincludesareferencetotheperson’sexecutors,administrators,successors,
substitutes(including,butnotlimitedto,personstakingbynovation)andpermittedassigns;and
(e)areferencetoaclauseisareferencetoaclauseoftheContract;and
(f)headingsareincludedforconvenienceanddonotaffecttheinterpretationoftheContract;and
(g)areferencetoastatute,ordinance,codeorotherlawincludesregulationsandotherinstruments
underitandconsolidations,amendments,re-enactmentsorreplacementsofanyofthem;and
(h)ifawordorphraseisdefined,othergrammaticalformsofthatwordorphrasehaveacorresponding
meaning;and
(i)iftheword“including”or“includes”isused,thewords“withoutlimitation”aretakentoimmediately
follow;and
(j)areferencetowritingincludesanymeansofrepresentingorreproducingwordsinvisibleformincluding
byelectronicmeanssuchasfacsimiletransmission;and
(k)areferencetoaliabilityincludesanyobligationtopaymoneyandanyotherloss,costorexpenseof
anykind;and

26.
Definitions
Inthiscontract,unlessthecontextotherwiserequires:

BillingCyclemeanstheregularrecurrentperiodinwhichYouaredeemedtoreceiveabillfromUs.
BusinessCustomermeansacustomerwhoisnotaresidentialcustomer.
BusinessDaymeansanydayexceptaSaturday,SundayorpublicholidayinWesternAustralia.
ChangeinLawisdefinedinclause3.6.
ConsumerhasthemeaninggivenintheAustralianConsumerLawinSchedule2totheCompetitionand
ConsumerAct2010(Cth)andtheFairTradingAct2010(WA).
ContractmeansthelegallybindingagreementbetweenYouandUs,ofwhichthesearethetermsand
conditions.
ContractPricemeansthechargeorchargesforelectricityassetoutintheCustomerSchedule(whichmay
includeaPeakEnergyPriceandanOff-PeakEnergyPrice),asmaybeadjustedfromtimetotimein
accordancewiththeContract.
CommencementDateisdefinedinclause2.1.
Cooling-offPeriod,asitappliestoanUnsolicitedConsumerAgreement,meanstheperiodduringwhich
theconsumermayterminatetheagreementandisthelongestofthefollowingperiods:
(a)iftheagreementwasnotnegotiatedbytelephone—theperiodof10businessdaysstartingatthestart
ofthefirstbusinessdayafterthedayonwhichtheagreementwasmade;
(b)iftheagreementwasnegotiatedbytelephone—theperiodof10businessdaysstartingatthestartof
thefirstbusinessdayafterthedayonwhichtheconsumerwasgiventheagreementdocumentrelatingto
theagreement;
(c)ifoneormoreofthefollowingwerecontravenedinrelationtotheagreement:
(i)section73oftheAustralianConsumerLaw(permittedhoursfornegotiatinganunsolicited
consumeragreement);
(ii)section74oftheAustralianConsumerLaw(disclosingpurposeandidentity);
(iii)section75oftheAustralianConsumerLaw(ceasingtonegotiateonrequest);
theperiodof3monthsstartingatthestartofthefirstdayafterthedayonwhichtheagreement
wasmadeor,iftheagreementwasnegotiatedbytelephone,theagreementdocumentwas

section3oftheEnergyCoordinationAct1994(WA)).

PeakPeriodmeansaperiodbetween8:00amand10:00pm(WST)onanyMonday,Tuesday,Wednesday,
ThursdayorFriday.
PremisesmeanstheaddresstowhichelectricitywillbesuppliedtoYouundertheContract.
PrivacyPolicymeansthepolicyspecifyingthestepstakenbyUstomaintaincustomerconfidentialityand
whichcanbeobtainedonrequestfromOurcustomerservicecentreorfromOurwebsite.
ReferencePricemeansthechargeorchargestobepaidbyYoufororinconnectionwiththesupplyof
electricitythatWepublishfromtimetotime.
RelevantPoliciesmeansthepoliciespublishedbyUsonOurwebsitefromtimetotimethatarerelevant
totheContractandincludethePrivacyPolicy.
RelevantRegulationsmeanstheregulationsthatarerelevanttoOursupplyofelectricitytoYouunderthis
ContractandincludetheCustomerContractsRegulations.
ReminderNoticemeansanoticeinwritingthatWeissuetoYouadvisingYouthatYouhavenotpaidYour
billandexplaininghowWemayassistYouifYouareexperiencingpaymentdifficultiesorfinancial
hardship.
UnderchargedAmountisdefinedinclause9.2.
UnsolicitedConsumerAgreementhasthemeaninggivenbysection69oftheAustralian
ConsumerLawandincludesanagreementthatis:
(a)forthesupply,ofelectricitytoaconsumer;and
(b)madeasaresultofnegotiationsbetweenUsandtheconsumer:
(i)ineachother’spresenceataplaceotherthanourbusinessortradepremises;or
(ii)bytelephone;
whetherornottheyaretheonlynegotiationsthatprecedethemakingoftheagreement;and
(c)theconsumerdidnotinviteUstocometothatplace,ortomakeatelephonecall,forthepurposesof
enteringintonegotiationsrelatingtothesupplyofelectricity(whetherornottheconsumermadesuchan
invitationinrelationtoadifferentsupply);and
(d)thetotalpricepaidorpayablebytheconsumerundertheagreement:
(i)isnotascertainableatthetimetheagreementismade;or
(ii)ifitisascertainableatthattime—ismorethan$100orsuchotheramountprescribedbythe
regulations.
Theconsumerisnottaken,forthepurposesofsubsection(c),tohaveinvitedUstocometothatplace,or
tomakeatelephonecall,merelybecausetheconsumerhas:
(a)givenhisorhernameorcontactdetailsotherthanforthepredominantpurposeofenteringinto
negotiationsrelatingtothesupplyoftheelectricityreferredtoinsubsection(c);or
(b)contactedUsinconnectionwithanunsuccessfulattemptbyUstocontacttheconsumer.

Aninvitationmerelytoquoteapriceforasupplyisnottaken,forthepurposesofsubsection(c),tobean
